STANDARD SALE TERMS

1. Delivery Arrangements: Goods are delivered FOB Port of Semarang, Indonesia (Incoterms 2020). Our responsibility concludes upon vessel loading, after which all risks and costs transfer to the buyer.


2. Payment Structure: Payment is structured as 50% deposit upon order confirmation and 50% balance prior to shipment. All transactions are processed in USD via wire transfer. To ensure accurate invoicing, buyers kindly cover all banking fees so the full amount is received. Shipment will be arranged upon receipt of final payment.


3. Quotation Validity: Our pricing remains valid for 14 days from the quotation date. Prices may be adjusted based on material cost fluctuations or market conditions. Should you need to modify your confirmed order, we'll provide written update on any additional costs involved.


4. Production Timeline: We estimate 60-90 days for production from deposit receipt. Please note this timeframe is approximate and may vary due to material availability, production schedules, shipping logistics, or unforeseen circumstances beyond our control.


5. Quality Assurance: Buyers are welcome to arrange pre-shipment inspection at their expense. Any concerns must be addressed before goods depart the port. Once shipment leaves Semarang, claims cannot be accommodated.


6. Insurance Coverage: Risk transfers to buyer at the FOB point. We strongly recommend arranging comprehensive marine insurance for your shipment. Our responsibility concludes once goods are loaded onto the vessel.


7. Order Changes: Once production commences, orders cannot be cancelled. All deposits are non-refundable to cover materials and labor already allocated. Partially completed orders require full payment as agreed.


8. Limitation of Liability: Our liability is limited to the invoice value of goods supplied. We cannot accept responsibility for indirect or consequential damages, including lost profits or business interruption.


9. Unforeseen Circumstances: Both parties are released from obligations due to events beyond reasonable control, including natural disasters, war, labor disputes, pandemics, or government interventions.


10. Dispute Resolution: Any disagreements will be resolved through binding arbitration under HKIAC rules in Hong Kong. Proceedings will be conducted in English under Hong Kong law, with the decision being final.


11. Agreement Terms: These terms constitute our complete agreement and supersede any previous understandings. Modifications require written consent from both parties. Buyer's standard terms are not applicable unless we specifically agree in writing. Minimum order quantities may apply.
